Listing Services Agreement

This Listing Services Agreement ("Agreement") is entered into between OutboardListings.com ("OL", "we", "us"), operated by Proxy1Media LLC, and the Client ("Seller", "you") identified below.

1. Services Provided

OL agrees to provide the following listing services on behalf of the Seller:

• Photographing, scanning, and cataloging Seller's marine parts and motors using OL's AI scanner
• Building professional listings with titles, descriptions, pricing, and compatibility data
• Posting listings to OutboardListings.com
• Posting listings to Seller's eBay account via Team Member Access (where authorized and selected by Seller)
• Removing listings across all channels when items sell
• Optional co-branding: "Listed by OutboardListings.com" tagline in listing descriptions

2. What OL Does NOT Do

3. Seller Responsibilities

• Provide accurate product information, photographs, pricing, and condition descriptions
• Respond to buyer inquiries in a timely manner
• Ship sold items within the timeframes specified on each listing platform
• Handle all customer communication, returns, refunds, and disputes directly
• Maintain valid payment accounts on all platforms where listings are posted
• Ensure all items listed comply with applicable laws and platform terms of service
• Notify OL promptly when an item sells so the listing can be removed from all channels
• Grant Team Member Access to eBay seller account (if eBay services are included)

4. Platform Access and Account Ownership

Seller retains full ownership of all third-party platform accounts (eBay, etc.) at all times. OL accesses these accounts solely through authorized mechanisms (eBay Team Member Access, etc.) and does not claim any ownership interest in Seller's accounts, listings, inventory, or proceeds.

Seller may revoke OL's access to any platform account at any time. Such revocation constitutes notice of termination of services for that platform.

5. Fees and Payment

Service fees are based on the tier selected by the Seller. Current pricing is published at OutboardListings.com/sell-for-you. Fees may include:

• Per-item scan and setup fee (one-time, covers photographing, scanning, and listing creation)
• Monthly subscription fee for ongoing posting, renewals, and removal across selected channels
• eBay store build-out fee (one-time, if applicable)
• On-site scanning fee (per-item plus travel, if applicable)

OL does not collect commissions on sales. Platform fees (eBay final value fees, payment processor fees) are the sole responsibility of the Seller and are paid directly to those platforms.

Sellers who opt into co-branding ("Listed by OutboardListings.com" tagline) receive a 10-20% discount on OL service fees.

6. Limitation of Liability

OL's total liability under this Agreement shall not exceed the fees paid by Seller to OL during the three (3) months preceding any claim. OL shall not be liable for indirect, incidental, consequential, or punitive damages.

OL is not responsible for: platform outages, policy changes, or account suspensions on eBay; buyer behavior, fraud, or disputes; shipping damage or loss; pricing errors made by the Seller; or any financial losses resulting from items that do not sell.

7. Term and Termination

This Agreement is effective upon execution and continues on a month-to-month basis until terminated by either party with fifteen (15) days' written notice. Upon termination:

• OL will remove co-branding from active listings within 30 days
• Seller retains full control of all platform accounts and active listings
• Outstanding fees remain payable
• Seller should revoke Team Member Access from their eBay account settings (if applicable)

8. Indemnification

Seller agrees to indemnify and hold harmless OL from any claims, damages, or losses arising from: (a) the accuracy of product descriptions and condition statements; (b) shipping, handling, or fulfillment of sold items; (c) violations of platform terms of service caused by Seller's actions; (d) any transaction disputes between Seller and buyers; (e) the use of Seller-provided photographs or content.

9. Governing Law

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved through binding arbitration in Duval County, Florida.

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and negotiations.
