Wholesale Seller Services Agreement

This Wholesale Seller Services Agreement ("Agreement") is entered into between OutboardListings.com ("OL", "we", "us"), operated by Proxy1Media LLC, and the Wholesale Partner ("Seller", "you") identified below.

1. Services Provided

OL agrees to provide the following services on behalf of the Seller:

• Listing creation and ongoing posting on OutboardListings.com
• eBay listing creation, optimization, and ongoing posting via Team Member Access (where authorized by Seller)
• Craigslist posting via Bulk Posting API or manual posting in designated cities and categories
• AI-powered item description generation from photographs provided by Seller
• Cross-platform inventory synchronization (sold-item removal)
• Co-branding of eBay listings in item description area (where authorized by Seller)

2. Seller Responsibilities

• Provide accurate product information, photographs, pricing, and condition descriptions
• Ship sold items within the timeframes specified on each listing platform
• Handle all customer communication, returns, refunds, and disputes directly
• Maintain valid payment accounts on all platforms where listings are posted
• Ensure all items listed comply with applicable laws and platform terms of service
• Grant Team Member Access to eBay seller account (if eBay services are included)

3. Platform Access & Account Ownership

Seller retains full ownership of all third-party platform accounts (eBay, Craigslist, etc.) at all times. OL accesses these accounts solely through authorized mechanisms (eBay Team Member Access, Craigslist Bulk Posting API, etc.) and does not claim any ownership interest in Seller's accounts, listings, inventory, or proceeds.

Seller may revoke OL's access to any platform account at any time by removing Team Member permissions or API authorization. Such revocation constitutes notice of termination of services for that platform.

4. Co-Branding

Seller acknowledges and agrees that eBay listings posted by OL will include a co-branding notice in the item description identifying the listing as "Listed by OutboardListings.com." This co-branding:

• Appears in the item description body only — not in the seller profile, store name, or account settings
• Does not alter Seller's store identity or branding
• May be viewed at OutboardListings.com/ebay-co-branding

5. Fees & Payment

Service fees are as outlined on the OutboardListings.com wholesale pricing page or as separately agreed in writing. Fees may include:

• Per-listing fees for eBay and/or Craigslist posting
• Monthly subscription fees for ongoing services
• Setup fees for new eBay store configuration (if applicable)
• Craigslist posting fees ($5/mo per city per category, as charged by Craigslist Inc.)

OL does not collect commissions on sales. Platform fees (eBay final value fees, PayPal/payment processor fees, Craigslist posting fees) are the sole responsibility of the Seller and are paid directly to those platforms.

6. Limitation of Liability

OL's total liability under this Agreement shall not exceed the fees paid by Seller to OL during the three (3) months preceding any claim. OL shall not be liable for indirect, incidental, consequential, or punitive damages.

7. Term & Termination

This Agreement is effective upon execution and continues on a month-to-month basis until terminated by either party with fifteen (15) days' written notice. Upon termination:

• OL will remove co-branding from active listings within 30 days
• Seller retains full control of all platform accounts and active listings
• Outstanding fees remain payable
• Seller should revoke Team Member Access from their eBay account settings

8. Confidentiality

Both parties agree to maintain the confidentiality of account credentials, pricing arrangements, and business strategies shared during the course of this Agreement.

9. Indemnification

Seller agrees to indemnify and hold harmless OL from any claims, damages, or losses arising from: (a) the accuracy of product descriptions and condition statements; (b) shipping, handling, or fulfillment of sold items; (c) violations of platform terms of service caused by Seller's actions; (d) any transaction disputes between Seller and buyers.

10. Governing Law

This Agreement shall be governed by the laws of the State of Florida. Any disputes shall be resolved through binding arbitration in Duval County, Florida.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and negotiations.
